Terms of Service
Please read these Terms of Service ("Terms") carefully before using the services provided by American Computer Services LLC ("us", "we", or "our"). Your access to and use of our services is conditioned upon your acceptance of and compliance with these Terms.
1. Services
American Computer Services LLC provides a range of computer services, including but not limited to managed IT support, network setup and management, cybersecurity services, and backup and recovery. The specific scope of services, deliverables, and timelines will be detailed in a separate Statement of Work (SOW) or service agreement agreed upon by both parties.
2. Client Obligations
The client agrees to provide American Computer Services LLC with all necessary access to information, data, and digital assets required to perform the services. This includes access to relevant systems, software platforms, and infrastructure. The client is responsible for the accuracy and legality of all materials provided to us.
3. Payment Terms
Fees for services will be outlined in the client's SOW or service agreement. Payments are typically due on a recurring monthly basis, in advance of the service period. Failure to make timely payments may result in a suspension of services. All fees are non-refundable once services have commenced.
4. Confidentiality
Both parties agree to keep confidential all non-public information obtained from the other party during the course of the service engagement. This includes business strategies, client lists, campaign data, and performance metrics. This obligation of confidentiality will survive the termination of any service agreement.
5. Intellectual Property
Any pre-existing intellectual property shall remain the sole property of its respective owner. All deliverables created by American Computer Services LLC specifically for the client as part of the services shall become the property of the client upon full and final payment for those services.
6. Limitation of Liability
While American Computer Services LLC strives to provide the highest quality services and achieve the best possible results, we do not guarantee specific outcomes. Technology environments are constantly changing, and performance can be affected by factors outside of our control. In no event shall American Computer Services LLC be liable for any lost profits, or any indirect, special, incidental, or consequential damages arising out of or in connection with our services.
7. Termination
Either party may terminate the service agreement with written notice, typically 30 days in advance, as specified in the SOW. Upon termination, the client is responsible for all fees accrued up to the effective date of termination.
8. Governing Law
These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which American Computer Services LLC is registered, without regard to its conflict of law provisions.
9. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any significant changes. By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms.
